Terms and Conditions for Businesses/Properties Registering on KIXA

Effective Date: April 1, 2025

These terms and conditions ("Business Terms") govern your registration and participation as a business, property, or service provider ("Business" or "Property") on the KIXA platform ("Platform"), operated by Altitude Rewards, LLC ("Altitude Rewards"). By registering your Property, submitting offers, or engaging with the Platform, you agree to these Business Terms. If you do not agree to these terms, you must not register or participate in the Platform.

1. Registration and Eligibility

1.1 Business Registration

To participate on the Platform, the Business must register by providing accurate and up-to-date details, including business name, registration number, address, contact details, and any other required information specified during the registration process.

1.2 Eligibility

Only businesses with valid legal and tax registrations in their operating jurisdiction(s) are eligible to participate. By registering, you confirm that you are authorized to represent the Business and bind it to these Terms.

2. Responsibilities and Expectations

2.1 Mandatory Offers

All Businesses are required to provide offers, perks, discounts, or incentives ("Offers") to Members on the Platform. These Offers must:

Be readily redeemable by Members without unnecessary restrictions or obstacles.

Be clearly outlined on the Platform, including expiration dates, specific conditions, and any usage limitations.

2.2 No Hidden Charges

Offers must not include hidden fees, conditions, or unexpected costs that go beyond what is disclosed in the original Offer terms on the Platform. Businesses are solely responsible for ensuring transparency.

2.3 Redemption Guarantee

Businesses must honor all Offers claimed by Members in full accordance with the published terms and conditions associated with those Offers.

3. Offer Submission and Management

3.1 Offer Approval Process

Approved Offers will be published on the Platform. Alterations to approved Offers must be submitted in advance for re-approval.

3.2 Offer Accuracy

The Business is responsible for ensuring that all published Offers, business details, and terms are accurate and up to date. Any incorrect, misleading, or outdated information may result in removal or suspension of the Business on the Platform

3.3 Changes to Offers

Changes to existing Offers must not negatively impact a Member’s ability to redeem an Offer they were previously entitled to under the original terms. Businesses are required to honor Offers valid at the time of purchase or use

3.4 Offer Availability

Offers must be available during the specified periods in sufficient quantities to reasonably meet Member demand. Offering deals that are intentionally vague, extraordinarily limited in availability, or misleading is strictly prohibited

4 . Liability and Disclaimers

4.1 Offer Fulfillment Responsibility

The Business accepts full responsibility for the fulfillment of Offers and any product, service, or experience connected to the Offer. The Altitude Rewards is not responsible for the communication, delivery, or performance of any Offers provided by the Business

4.2 Platform Liability Disclaimer

The Business acknowledges and agrees that the Altitude Rewards and the KIXA Platform are not liable for:

Any errors, omissions, disputes, claims, or damages that arise from the fulfillment (or failure to fulfill) of Offers by the Business.

Complaints or dissatisfaction from Members regarding the quality, availability, or compliance of Offers provided by the Business.

4.3 Indemnification

The Business agrees to indemnify, defend, and hold harmless the Altitude Rewards and the KIXA Platform, as well as their officers, employees, agents, and affiliates, from any and all claims, lawsuits, liabilities, damages, costs, and expenses (including attorney fees) arising directly or indirectly from:

Misrepresentation or failure to honor Offers as described in the terms;

Breach of these Business Terms

Non-compliance with applicable consumer or other protection laws

5 . Member Redemption Expectations

5.1 Clear Redemption Process

Businesses must establish a simple, clear, and user-friendly process for Members to redeem Offers. Any ambiguities or inconsistencies that negatively impact members’ ability to redeem may result in disciplinary action by the Platform, including but not limited to termination of the Business’s access

5.2 Staff Awareness

The Business must ensure that all personnel involved in fulfilling Offers are adequately trained and informed. Staff must know:

How to process or apply the Offer;

Any applicable terms or exclusions

That they are legally bound to honor valid Offers as listed on the Platform

5.3 Redemption Periods

If Offers are valid for a limited time, the Business must clearly disclose the expiration dates and honor all redemptions attempted by Members within this valid period

5.4 Record Keeping

Businesses must maintain accurate records of Offer redemptions in the event of disputes or verification requests

6. Prohibited Activities

6.1 Bait-and-Switch Practices

Businesses may not mislead Members with Offers that:

Are intentionally unavailable (e.g., out of stock or false advertising of inventory)

Are significantly different from the description provided on the Platform.

6.2 Discriminatory Practices

Offers must be made available to all qualifying Members without discrimination based on demographics, geographic location, or any other legally protected characteristic

6.3 Third-Party Resales

Offers provided through the Platform cannot be resold, sublicensed, or transferred to third parties by the Business.

7. Termination and Removal

7.1 Termination by the Altitude Rewards

The Altitude Rewards reserves the right to terminate the Business’s registration or remove Offers from the Platform at any time, for any reason, including but not limited to

Breach of these Business Terms;

Repeated failures to fulfill Offers;

Submission of misleading, false, or unauthorized information.

7.2 Effect of Termination

Upon termination or removal:

The Business will immediately lose access to the Platform and any Member-related activity

All pending Offers must still be honored for Members who claimed them prior to termination

8. Confidentiality

Any non-public business or operational information shared by the Altitude Rewards with the Business, including but not limited to Platform technologies, user data, and internal processes, must remain confidential and cannot be disclosed without express written consent.

9. Governing Law

This Agreement and all matters related hereto are governed by the laws of the State of Georgia, USA. By participating on the Platform, you agree to exclusive jurisdiction and venue in the courts located in Georgia for any dispute arising under these Business Terms

10. Entire Agreement

These Terms constitute the entire agreement between the Business and the Altitude Rewards regarding participation on the Platform and supersede all prior agreements or understandings.

By registering with the Platform and submitting Offers, the Business acknowledges that it has read, understood, and agrees to be bound by these Terms.
